Terms of Service

These terms cover the Ark Client app and the related services

This English text is a convenience translation. The Chinese version is the legally binding one; if the two differ, the Chinese version prevails.

Please read these terms carefully before using Ark Client, in particular the clauses that exclude or limit liability and those on dispute resolution.

1. Acceptance and scope

These terms of service (the "Terms") form an agreement between you and Shanghai Lingyi Yuanzhou Technology Co., Ltd. (上海零一源舟科技有限公司) ("we", "us") covering your use of the Ark Client app (package com.zeroonearkpos.client) and related services.

By downloading, installing, launching or using the app you confirm that you have read, understood and accepted these Terms in full. If you do not agree, stop using the app. The app is a commercial tool for restaurant operators and their authorised staff; please make sure you are authorised before using it.

2. What the service is

The app is an ordering and checkout tool for small and medium restaurants, covering ordering, tables, settlement, house accounts, kitchen display, local printing and real-time sync with the cloud. The functions actually provided by the app govern; we may adjust, add to or improve them as the business requires.

3. Accounts, devices and authorisation

Sign-in and permissions are handled through device authentication and staff PINs. You are responsible for safeguarding your devices, accounts and credentials, and for everything done through your account and authorised devices.

If an account is compromised, a device is lost, or another security risk arises, take action promptly and notify us. Losses caused by your own failure to safeguard them are yours to bear.

4. Your obligations

You undertake to use the app lawfully and in compliance with regulations, and you are responsible for the accuracy and legality of the dishes, prices, orders, member records and business data you enter, as well as for your dealings with guests.

You must not use the app for anything that breaks the law, harms the rights of others or interferes with the service, including unauthorised access, cracking, reverse engineering, distributing malware, or using the service for unlawful business.

5. Subscriptions and fees

Some functions may be offered on a subscription or licence basis. The scope of service, billing method, subscription period and refund rules are governed by the separate commercial agreement or order between the parties. If in doubt, use the contact details at the end of these Terms.

6. Intellectual property

The intellectual property in the app and its software, documentation, interfaces, trade marks and logos belongs to Shanghai Lingyi Yuanzhou Technology Co., Ltd. (上海零一源舟科技有限公司) or the respective rights holders and is protected by law. Without written permission you may not copy, modify, rent, sell, distribute or otherwise use it.

7. Privacy

We take the personal information of you and your guests seriously and protect it as the law requires. For how personal information is collected, used, stored and shared, see our Privacy Policy.

8. Disclaimers and limitation of liability

The app is provided "as is". To the extent permitted by law, we are not liable for interruptions or data problems caused by network faults, device faults, third-party services, force majeure, or other causes outside our control.

In no event will our total liability to you under these Terms and the service exceed the fees you actually paid us for the relevant service in the period before the dispute arose, except where mandatory law provides otherwise.

9. Changes, suspension and termination

We may change, suspend or terminate the service for business, technical or compliance reasons, and will give notice in advance by appropriate means. If you breach these Terms, we may suspend or terminate the service to you.

10. Amendments

We may revise these Terms from time to time. The latest version is published on this page with an updated date. Continuing to use the app after a revision means you accept the revised Terms.

11. Governing law and disputes

These Terms are made under, and construed in accordance with, the laws of the People's Republic of China. Any dispute arising from or relating to these Terms should first be settled amicably; failing that, either party may bring proceedings before the competent people's court where we are located.
